Terms of Service

Introduction
These Terms of Service (“Terms”) apply to the website, platform, services, content, features and related functionality operated by XXXXX in connection with The Wall of the Million project (the “Service”).
By accessing or using the Service, purchasing a tile, submitting content or otherwise participating in the project, you agree to these Terms. If you do not agree, you must not use the Service.
If you use the Service on behalf of a business or organisation, you confirm that you have authority to bind it to these Terms, and “you” includes that organisation.
1. About the Service
1.1 The Service is a public digital wall made of numbered tiles, capped at 1,000,000 tiles in total (the “Wall”), together with any archive, successor view or related feature the Operator offers.
1.2 Through the Service you may buy one or more tiles (each a “Tile”) and have displayed on them a name, an optional short title, an optional single link, a color or gradient and an optional emoji. Tiles may also appear in public features such as the Wall of Fame, share cards, certificates, badges, historical views and aggregate statistics.
1.3 The Service is a creative digital entertainment project and a social experiment about participation, scarcity and fear of missing out. It is not a bank account, custody service, marketplace, securities platform, investment product, NFT platform or regulated financial product.
1.4 The Service does not promise that participation will provide any financial, commercial, social, promotional, reputational or other benefit. Any such benefit is incidental and is not part of the purchase.
1.5 The Operator may improve, modify, expand, reduce, suspend, replace or discontinue parts of the Service at any time, subject to these Terms and applicable law.
2. Definitions
In these Terms:
Operator means XXXXX.
Wall means the digital wall of tiles, including any archived or later version of it.
Tile means a numbered position on the Wall made available for purchase.
Placement means the name, title, link, colors and emoji displayed on a Tile.
User Content means anything you submit to the Service, including names, titles, links, color selections, emoji and messages sent to us.
Service Rules means any additional technical, content, moderation or checkout rules published within the Service, so long as they are consistent with these Terms.
3. Eligibility and age
3.1 You may use the Service only if:
(a) you are at least 18 years old; or
(b) you are between 13 and 17 years old and your parent or legal guardian has reviewed and accepted these Terms on your behalf, has permitted your use of the Service and agrees to be responsible for your use and your purchases.
3.2 The Service is not intended for children under 13, and children under 13 must not use it.
3.3 By using the Service you represent and warrant that you satisfy the requirements in this section.
4. Geographic availability
4.1 The Service is intended to be available globally, unless access must be restricted because of law, sanctions, fraud prevention, payment provider limitations, technical limitations or other legitimate operational reasons.
4.2 You are responsible for complying with the laws applicable to you where you access or use the Service.
5. Identity and email-based access
5.1 The Service does not use passwords. Your email address is your identity: you receive a one-time sign-in link (“magic link”) by email in order to see and edit the tiles bought with that address.
5.2 You must provide an email address you control and keep access to that inbox secure. Anyone with access to your inbox may be able to use a magic link to manage the tiles associated with that address.
5.3 Tiles bought with the same email address are grouped together as one builder in public features such as the Wall of Fame. Tiles bought with different email addresses are treated as different builders.
5.4 Names, titles and links must not be misleading, impersonate another person or organisation, infringe rights or otherwise breach these Terms. The Operator may require a change, or make a change itself, where content creates legal, safety or impersonation risk.
5.5 Editable and Permanent Placement. Once a purchase is completed:
(a) the Name and Emoji assigned to a Tile are permanent and cannot be edited, replaced or reset by the user;
(b) the Title, message and Link associated with a Tile may be updated from your dashboard using the email address associated with the purchase, subject to moderation and these Terms.
6. Pricing, currency, taxes and payment
6.1 The price of Tile number n is determined by the following published formula:
P(n) = $0.50 + $0.04954455 × (sqrt(n) − 1)
The resulting price is rounded to the nearest cent.
6.2 The pricing system is sub-linear: the price increases by $0.01 at defined milestones as the Wall grows. As more Tiles are added, progressively more Tiles are required to reach the next price increase.
6.3 When multiple consecutive Tiles are purchased in a single transaction, all Tiles included in that purchase are charged at the price applicable to the first Tile in the block.
For example, if the next available Tile is Tile 101 and its applicable price is $5.00, purchasing Tiles 101 through 105 in a single transaction charges all five Tiles at $5.00 each, rather than applying the individual prices of Tiles 101, 102, 103, 104 and 105.
This pricing mechanism is intended to provide a built-in discount for purchasing multiple consecutive Tiles in the same transaction.
6.4 The price is calculated and rounded to the nearest cent by our server at the moment of purchase. The server-side price is the binding price for the transaction. Prices displayed elsewhere are indicative until the purchase is completed.
6.5 All prices are displayed and charged in United States Dollars (USD) unless clearly stated otherwise.
6.6 Taxes, payment processor fees and similar charges may apply depending on your location, payment method and applicable law. Where required, they are shown at checkout.
6.7 Your bank or card provider may apply conversion or foreign transaction charges. Those are outside the Operator’s control and are your responsibility.
6.8 A transaction is not complete until payment is successfully authorised or captured and the Service records the purchase as completed.
6.9 The Operator may refuse, cancel or hold any transaction where there is a genuine reason, including suspected fraud, unauthorised payment use, technical conflict, duplicate attempts, abuse, sanctions risk or legal compliance.
6.10 The Operator may introduce or change future pricing options, bundles or promotions at any time. Changes do not affect completed purchases and will not retroactively alter the price paid for completed purchases.
7. Digital content, consumer rights and no-voluntary-refund policy
7.1 Purchases through the Service are purchases of digital content and related digital services connected to the Wall and your email identity.
7.2 To the fullest extent permitted by applicable law, the Operator does not offer refunds voluntarily as a matter of policy. This includes circumstances where:
(a) you change your mind;
(b) you chose the wrong name, title, link, colors or emoji;
(c) your content is later removed, edited, blanked out or restricted because it breaches these Terms or the Service Rules;
(d) you stop using the Service or lose interest in the project;
(e) you are dissatisfied with the final appearance of the Wall, provided the Service has operated substantially as described;
(f) you expected promotional, commercial, social, financial or reputational benefit and it does not occur; or
(g) your access is restricted or terminated because of a breach of these Terms.
7.3 Where applicable law gives you a statutory right of withdrawal, the checkout process will provide the information and confirmations required by law. At checkout, by expressly requesting immediate performance and supply of the digital content, you acknowledge that once supply begins, you waive your statutory right of withdrawal as permitted by law.
7.4 Nothing in these Terms limits, excludes or restricts rights or remedies that cannot lawfully be limited, excluded or restricted under applicable consumer law.
7.5 If a payment succeeds but the Service fails to allocate or display your Tile because of a technical issue attributable to us, the Operator will use reasonable efforts to correct the issue, including re-placement, reallocation or another appropriate technical remedy. Any refund, price reduction or other monetary remedy will be provided where required by applicable law.
7.6 If a payment is reversed, charged back, recalled or later found to be unauthorised or fraudulent, the Operator may remove or suspend the related Tiles, Placements and access until the issue is resolved, and may recover associated processor costs where permitted by law.
7.7 Users cannot directly edit or replace the permanent elements of a Tile after publication, except where the Service expressly provides an editing function or where removal or anonymisation is required or permitted under applicable law or the Privacy Policy. The Operator may also remove, disable, moderate or alter content in accordance with these Terms, including any Tile containing illegal content, malware, hate speech, or explicit NSFW material, without refund.
The Operator may also remove, disable, moderate or alter content in accordance with these Terms.
7.8 Dispute Management and Fraudulent Chargebacks
You acknowledge and agree that the Service purchased consists of the immediate delivery and public display of custom digital content. The performance is deemed fully executed and fulfilled at the exact moment the element (tile, image, or link) is publicly displayed on the Wall grid.
Opening an undisputed or unjustified payment dispute (chargeback) with your bank or card issuer—for a service that has been regularly delivered and is publicly visible—constitutes a breach of contract and improper conduct.
In the event of a dispute, the Operator will promptly provide Stripe and the involved financial institution with supporting evidence of fulfillment, including:
- Unique Stripe transaction ID and confirmation timestamp;
- Database log records with the exact time and date of tile publication;
- Public URL and visual proof of the published content;
- IP address, session data, and anti-bot verification associated with the purchase.
The Operator reserves the right to immediately remove the content associated with the disputed transaction from the grid and charge you for administrative management costs and dispute fees applied by the payment network.
8. Tile allocation and collisions
8.1 Tiles are numbered sequentially and allocated according to the Service’s records.
8.2 The next available Tile is the next sequential Tile not yet sold. Users cannot select an arbitrary future Tile or reserve a particular number in advance unless the Service expressly introduces such a feature.
8.3 A Tile is not yours because you selected it or began checkout. A Tile is assigned to you only once the purchase is successfully completed and recorded by the Service.
8.4 Where you purchase multiple Tiles in one transaction, the Tiles assigned to you are consecutive, beginning with the next available Tile.
8.5 If several people attempt to purchase Tiles at the same time, the Service assigns Tiles according to the order in which successful transactions are recorded by the Service.
8.6 The number or price shown before payment may therefore change if another transaction is completed first. The allocation and price recorded by the Service at successful completion are binding.
8.7 The Operator may apply reasonable technical rules for color rendering, emoji support, anti-abuse restrictions and allocation logic through the Service Rules.
9. What your purchase gives you
9.1 A completed purchase gives you a limited contractual right, subject to these Terms, to have your chosen name, optional title, optional link, colors and emoji published on the Tile number assigned to you, and to have that Tile associated with your email identity inside the Service.
9.2 That right is limited to the Service and does not give you:
(a) ownership of the Wall as a whole or of any physical reproduction of it;
(b) ownership of the Service software, code, database or brand;
(c) any intellectual property rights in the Operator’s branding or compilation; or
(d) any guaranteed right to permanent hosting or indefinite availability.
9.3 Tiles and Placements are part of a creative digital project. They are not deposits, investments, securities, tokens or financial instruments, and no appreciation or resale value is promised.
9.4 Buying a Tile does not entitle you to any return, profit, dividend, revenue share, commission or payout arising from later purchases by other people.
9.5 Unless the Service later introduces an official transfer feature, Tiles are non-transferable and non-resellable. Any off-platform sale or promise to transfer a Tile has no effect on the Service’s records.
9.6 The Service may use terms such as “owner”, “holder”, “builder” or similar language in user-facing features for descriptive or promotional purposes. Such terminology does not create legal ownership of the Wall, the Service, the underlying software, database, brand or intellectual property, except for rights expressly granted under these Terms.
10. Titles, links and commercial use
10.1 The Service allows a short personal title of up to 50 characters, unless that limit changes, shown on your Tile page.
10.2 The Service allows one link per Tile, including commercial links, subject to these Terms, moderation and any Service Rules.
10.3 You are solely responsible for the destination, safety, legality and accuracy of any link, redirect or landing page you submit.
10.4 You must not submit links, shortened URLs, redirects or similar materials that:
(a) contain malware, spyware, phishing, harmful code or deceptive downloads;
(b) promote scams, unlawful activity or fraudulent schemes;
(c) lead to unlawful, hateful, violent, harassing or exploitative material;
(d) involve sexual content involving minors;
(e) are misleading as to source, sponsorship or destination; or
(f) otherwise create safety, legal or reputational risk for the Service or its users.
10.5 The Operator may disable or replace links at any time if the target URL becomes inactive, broken, unsafe or fundamentally changes its target content after initial submission.
10.6 If you use the Service for advertising, promotion or commercial visibility, you are responsible for complying with applicable law, advertising rules, disclosure requirements and third-party rights.
10.7 The Operator reserves the right to disable or remove links that use URL shorteners, opaque redirects or similar destination tools if they conceal the final destination, break or otherwise pose security or reputational risks.
11. Content rules and your warranties
11.1 You must not submit names, titles or links that are:
(a) illegal, hateful, harassing, defamatory or discriminatory;
(b) sexually explicit or involving minors in any way;
(c) impersonating another person, brand or public figure;
(d) malware, phishing, scams or misleading financial offers; or
(e) infringing anyone’s intellectual property, privacy or publicity rights.
11.2 By submitting User Content you represent and warrant that:
(a) you own it, or hold all rights, permissions and consents needed to submit it and to authorise the uses described in these Terms;
(b) your submission and our permitted use of it will not infringe any copyright, trademark, privacy, publicity, database or moral right;
(c) the content is lawful and not defamatory; and
(d) the content complies with these Terms and applicable law.
11.3 The Service may technically adapt your content — including cropping text, adjusting colors or re-rendering it — so it fits the Wall, Tile pages and share cards.
11.4 The displayed result may differ slightly across devices. Due to differences in operating systems, browser rendering engines, screen types and display modes, the visual appearance of colors, gradients and emojis may vary slightly across user devices.
12. Prohibited conduct
You must not, and must not attempt to:
12.1 hack, disrupt, overload, damage, interfere with or test the vulnerability of the Service without authorisation;
12.2 bypass security controls, bot detection, rate limits or purchase limits;
12.3 use bots, scripts, scraping tools or automation to buy, reserve, extract or manipulate Tiles or data, except where the Service expressly permits it;
12.4 engage in fraud, payment abuse, abusive chargebacks, identity misuse or unauthorised use of another person’s payment method or inbox;
12.5 submit unlawful, infringing, defamatory, hateful, harassing or misleading content;
12.6 impersonate another person or organisation, or falsely imply sponsorship, endorsement or affiliation; or
12.7 use the Service in a way that is deceptive, unsafe, abusive or likely to harm other users or the project.
13. Moderation, enforcement and removal
13.1 The Operator may moderate User Content before publication, after publication or both.
13.2 The Operator may remove, refuse, disable, edit, replace, blank out or revert User Content or an affected Tile — including resetting a Tile to a neutral state — where it reasonably believes that the content:
(a) breaches these Terms or the Service Rules;
(b) is or may be unlawful;
(c) infringes rights or exposes the Service to legal risk;
(d) is unsafe, deceptive or abusive; or
(e) undermines the integrity, reputation or technical operation of the project.
13.3 The Operator is not required to give advance notice, particularly in cases involving safety, fraud, legal risk or urgent technical action.
13.4 Enforcement may include warnings, content removal, reduced visibility, purchase limits, transaction cancellation, restriction or termination of access, payment blocking or restrictions on future participation.
13.5 If your content is moderated because it breaches these Terms, you are not entitled to a refund except where required by applicable law.
13.6 Visitors may flag a Tile using the Service’s reporting tools. The Operator does not guarantee that reported content will be removed.
14. Rights complaints and takedown requests
14.1 If you believe content on the Service infringes your copyright, trademark, image rights, privacy rights or other legal rights, contact us using the details in section 28.
14.2 A complaint should include:
(a) your name and contact details;
(b) the content complained of and where it appears;
(c) the rights allegedly infringed;
(d) evidence that you are the rights holder or authorised to act for them; and
(e) a statement that the complaint is made in good faith and is accurate to the best of your knowledge.
14.3 The Operator may remove or disable access to content while investigating.
14.4 The Operator may request further information and may decline to act where a complaint is incomplete, unsupported, abusive or clearly unfounded.
15. Public display features
15.1 The Service may provide share cards, badges, receipts, rankings, the Wall of Fame, contributor counts, archive views, timelapses and aggregate statistics.
15.2 These features exist for display and project engagement only. They do not create property rights, financial value, guaranteed status or guaranteed long-term availability.
15.3 The Operator may change, correct, suspend or remove these features at any time.
15.4 If your access is restricted or your content is moderated, the Operator may remove you from public rankings or adjust related public records.
16. Licence to your content
16.1 As between you and the Operator, you keep whatever ownership rights you have in your User Content.
16.2 By submitting User Content you grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt, crop, resize, transmit, display, publish, distribute and archive it in order to:
(a) operate, secure, moderate and improve the Service;
(b) display it on the Wall, Tile pages, share cards and related pages;
(c) create and maintain archives, timelapses, screenshots and historical versions;
(d) promote, market and document the project; and
(e) comply with law, enforce these Terms and resolve disputes.
16.3 This licence continues for as long as reasonably necessary for those purposes, including for archived versions of the Wall and promotional materials already published.
16.4 Asking for your name to be removed or anonymised does not require the Operator to withdraw historic archive records, timelapses, screenshots or previously published promotional materials where doing so would be impracticable or inconsistent with the purposes of the archive or applicable law.
17. Operator intellectual property
17.1 The Operator and its licensors own the Service, including its software, code, design, branding, text, database and the overall selection, coordination and presentation of the Wall, except for rights users hold in their own User Content.
17.2 You must not copy, distribute, modify, reverse engineer, create derivative works from or otherwise exploit the Service except as permitted by law or with our written permission.
18. Privacy and data protection
18.1 The Privacy Policy explains how personal data is collected, used, shared, retained and protected, and forms part of these Terms.
18.2 By using the Service you acknowledge that your Tile number, name, optional title, optional link, colors and emoji, your Wall of Fame entry and your participation records may be public by design, as described in the Privacy Policy.
18.3 Your country may be used for aggregate statistics and is not displayed next to your individual Tile unless expressly stated otherwise.
19. Third-party services
19.1 The Service relies on third-party providers for payments, hosting, database, email delivery, analytics and security.
19.2 Use of third-party services may be subject to their own terms and privacy policies.
19.3 The Operator is not responsible for third-party sites or services, including destinations reached through user-submitted links.
20. Availability, changes and the end of the project
20.1 The Service is provided on an “as is” and “as available” basis.
20.2 The Operator does not guarantee uninterrupted availability, permanent hosting, error-free operation or that all content will remain available forever.
20.3 The Operator may suspend or restrict all or part of the Service for maintenance, upgrades, moderation, legal compliance, fraud prevention, security incidents or operational reasons.
20.4 The Wall is capped at 1,000,000 Tiles. Once Tile number 1,000,000 is sold, participation closes permanently and no further Tiles will ever be created or sold.
20.5 The project may also end earlier for legitimate business, creative, legal or operational reasons.
20.6 After the project ends, the Operator may keep an archive view available, publish a final snapshot of the Wall, discontinue parts of the Service while preserving limited historic materials, or discontinue the Service entirely.
21. Warranties and disclaimers
21.1 The Operator does not promise that the Service is suitable for every purpose, that every submission will be accepted, or that every link will remain live or visible.
21.2 To the fullest extent permitted by law, the Operator disclaims warranties, representations and conditions not expressly set out in these Terms.
21.3 Nothing here excludes any warranty or remedy that cannot lawfully be excluded.
22. Limitation of liability
22.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
22.2 Subject to 22.1, the Operator is not liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, business, goodwill, opportunity or anticipated savings.
22.3 Subject to 22.1 and except where applicable law provides otherwise, the Operator’s total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of:
(a) the total amount you paid through the Service in the three months before the event giving rise to the claim; and
(b) USD $100.
22.4 Nothing in this section affects non-excludable consumer rights.
23. Your responsibility to the Operator
23.1 You are responsible for losses, costs, claims and expenses reasonably suffered or incurred by the Operator arising out of:
(a) your breach of these Terms;
(b) your unlawful User Content;
(c) your infringement of a third party’s rights; or
(d) your fraud, abuse or misuse of the Service.
23.2 This section does not require you to compensate the Operator for losses caused by the Operator’s own negligence, breach of law or breach of these Terms.
24. Suspension and termination
24.1 You may stop using the Service at any time.
24.2 The Operator may suspend or terminate your access, in whole or in part, where it reasonably believes that you have breached these Terms, that your use creates legal, fraud, safety or technical risk, that your payment has failed, been reversed or was unauthorised, or that it is required to do so by law or by a legitimate request from a regulator, court or payment provider.
24.3 Suspension or termination does not entitle you to a refund except where required by applicable law.
24.4 Sections that by their nature should survive termination continue in force, including those on payment obligations, content licence, intellectual property, liability, disputes and general terms.
25. Changes to these Terms
25.1 The Operator may update these Terms from time to time.
25.2 For material changes, the Operator will take reasonable steps to bring the updated Terms to your attention, such as posting them on the Service, updating the “Last updated” date or showing an in-service notice.
25.3 Continuing to use the Service after updated Terms take effect means you agree to them. If you do not agree, you must stop using the Service.
26. Governing law and jurisdiction
26.1 These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of Italy.
26.2 If you are a consumer residing in the European Union or another jurisdiction, you also benefit from any mandatory protections afforded to you by the laws of your country of residence.
26.3 Subject to section 26.2 and applicable consumer protection laws, the courts of Italy shall have jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
27. General
27.1 Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and the Operator in relation to the Service, except for Service Rules expressly incorporated into the Service.
27.2 Precedence. If these Terms conflict with any Service Rules, these Terms govern unless the supplemental rules expressly state otherwise.
27.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
27.4 No waiver. A failure or delay in enforcing a right is not a waiver of that right.
27.5 Assignment. The Operator may assign or transfer its rights and obligations as part of operating, financing, restructuring or selling the Service, provided this does not reduce your non-excludable rights. You may not assign yours unless the Service expressly allows it.
27.6 No partnership. These Terms do not create a partnership, joint venture, employment or agency relationship.
